Terms of Service

These Terms of Service ("Terms") govern your access to and use of Retainer Burn (the "Service"). By creating an account or using the Service, you agree to these Terms. If you do not agree, please do not use the Service.

1. Eligibility

You must be at least 16 years old (or the age of digital consent where you live) and able to form a binding contract to use the Service. If you use it on behalf of a business, you confirm that you are authorized to bind that business to these Terms.

2. The Service

Retainer Burn helps you track time against monthly retainer budgets, see how much of each budget is used, and receive threshold alerts. The Service is currently offered in beta and is provided on an "as is" and "as available" basis — features may change, break, or be removed as we improve it.

3. Your account

You are responsible for the activity under your account and for keeping your credentials secure. Notify us promptly at support@retainerburn.com if you suspect unauthorized access. You are responsible for the accuracy of the data you enter.

4. Acceptable use

You agree not to:

• use the Service to break the law or infringe others' rights;
• attempt to access other users' data or our systems without authorization;
• probe, scan, or disrupt the Service, except as permitted by our security policy;
• reverse-engineer, copy, or resell the Service;
• upload malware or harmful code; or
• use the Service in any way that harms other users or degrades the Service.

We may suspend or terminate accounts that violate these rules.

5. Your content

You own the data you put into the Service — your clients, time entries, and notes ("Your Content"). You grant us a limited license to host, process, and display Your Content solely to operate and provide the Service to you. We do not claim ownership of it and we will not sell it.

6. Our intellectual property

The Service itself — including its software, design, and brand — belongs to Retainer Burn and is protected by intellectual-property laws. These Terms do not grant you any right to our trademarks or to copy the Service.

7. Fees

Retainer Burn is free during beta. If we introduce paid plans, we will give you advance notice before any charges apply to you, and your continued use after that constitutes acceptance of the pricing. We will always be clear about what is free and what is not.

8. Termination

You can stop using the Service and delete your account at any time. We may suspend or terminate your access if you violate these Terms or if we discontinue the Service, in which case we will make reasonable efforts to let you export your data first.

9. Disclaimers

The Service is provided "as is" and "as available", without warranties of any kind, express or implied. We do not warrant that it will be uninterrupted, error-free, or that the burn calculations and alerts will be free of inaccuracies. The Service is a tool to assist you — it is not accounting, billing, or legal advice, and you remain responsible for your own invoicing and business decisions.

10. Limitation of liability

To the maximum extent permitted by law, Retainer Burn will not be liable for any indirect, incidental, special, or consequential damages, or for any lost profits, revenue, or data, arising from your use of the Service. Our total liability for any claim relating to the Service will not exceed the greater of the amount you paid us in the 12 months before the claim or USD 50.

11. Indemnification

You agree to indemnify and hold Retainer Burn harmless from any claims, damages, or expenses arising out of your misuse of the Service or your violation of these Terms.

12. Changes

We may update these Terms or the Service from time to time. If we make material changes to these Terms, we will update the date at the top and, where appropriate, notify you. Continued use after changes means you accept them.

13. Governing law

These Terms are governed by the laws of the jurisdiction in which Retainer Burn is established, without regard to its conflict-of-laws rules. Any disputes will be subject to the exclusive jurisdiction of the courts located there.
